You agree to pay all fees associated with the services you purchase or engage. Payment terms will be specified in the applicable service agreement. Late payments may be subject to interest charges and may result in suspension or termination of services.
All fees are exclusive of applicable taxes, duties, and other governmental charges. You are responsible for paying all such taxes associated with your purchase of services.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services and continues for a period of five years thereafter.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is subject to the terms of any applicable service agreement.
Except as expressly stated in a service agreement, our services and website are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the accuracy, reliability, or availability of our services. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, LDH Alliance LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.
Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to us for services during the twelve months preceding the claim.
You agree to indemnify, defend, and hold harmless LDH Alliance LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.
These Terms remain in effect while you use our services or maintain an account with us.
You may terminate your use of our services at any time by ceasing to use our website and services and, if applicable, closing your account.
We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, including for violation of these Terms.
Upon termination, your right to use our services immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, confidentiality obligations, disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Leandro, California.
You agree that any arbitration or proceeding shall be limited to the dispute between you and LDH Alliance individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and LDH Alliance regarding our services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.
